Enrollment and Participation:

1.1. Enrollment: Partners are automatically enrolled in the program either by completing our partner sign-up form. The Company reserves the right to reject or terminate a Partner’s participation in the Program for any reason or no reason at its sole discretion. The partner must set up a Katz Keys account to see their success shares and establish a payment method.

1.2. Eligibility: Partners must be at least 18 years old and comply with all applicable laws and regulations in their country of residence.

1.3. No Self-Referral: Partners are prohibited from using their own referral link to make purchases. Self-referral will not be eligible for success share payouts.

Success Shares and Payments:

2.1. Success Share Rates: Company shall pay Partner a commission as follows:

5% success share on referrals who successfully enrolls in our BMBH program (student must be enrolled for a minimum of 3 months to qualify as a successful referral)

2.2. Qualified Sales: Success Shares will be calculated based on the net revenue from qualified sales made through the Partner's unique referral link. Success shares are awarded to the most recent affiliate link that the user clicks on.

2.3. Payment Schedule: Success Shares are paid every 3 months and paid to the partner within 7 - 10 business days under the following conditions: You have to correctly fill in your profile information so that systeme.io can generate the correct invoices, the total amount of your commissions must exceed $50. Partner must provide payment information under payment settings.

2.4. Minimum Payout: A minimum amount threshold of $50 must be met before a payment is issued. If the success share balance does not exceed the minimum threshold, the amount will roll over to the next payment period.

2.5. Company shall provide a partner dashboard for Partner to track sales, conversions, and commissions earned.

Promotional Guidelines:

3.1. Marketing Materials: Partners shall only use authorized marketing materials provided by the Company or materials approved by the Company in writing.

3.2. Compliance: Partners must comply with all applicable laws, regulations, and advertising guidelines when promoting the Company's products and services.

3.3. Prohibited Activities: Partners shall not engage in any deceptive, misleading, or unethical marketing practices, including but not limited to spamming, cookie stuffing, or false advertising.

Termination:

4.1. Termination by Either Party: Either party may terminate this agreement at any time, with or without cause, by providing written notice to the other party.

4.2. Consequences of Termination: Upon termination, the Partner shall immediately cease all marketing efforts and remove any promotional materials related to the Company's products and services.

Confidentiality:

5.1. Confidential Information: During the course of the Program, the Partner may have access to non-public information, including but not limited to sales data and commission rates. The Partner agrees to keep such information confidential and shall not disclose it to any third party without the Company's prior written consent.

Limitation of Liability:

6.1. Disclaimer: The Company makes no warranties or representations, expressed or implied, with respect to the Program, including but not limited to the potential for income or the success of the Partner’s marketing efforts.

6.2. Indemnification: The Partner agrees to indemnify and hold the Company harmless from any claims, damages, or liabilities arising from the Partner’s participation in the Program or breach of these Terms.

Modification:

7.1. The Company reserves the right to modify, suspend, or terminate the Program or these Terms at any time without prior notice. It is the Partner’s responsibility to review the Terms regularly for updates.

Governing Law:

8.1. These Terms shall be governed by and construed in accordance with the laws of California, without regard to its conflict of laws principles.

By enrolling in the Program, the Partner acknowledges and agrees to abide by these Terms.
